1 Financial Terms
- Refunds and Payments Due: The financial obligations will depend on the status of the project:
- Before the Start of Development: If the cancellation occurs before the project begins, the client will receive a full refund of any advance payments. Refund: Full payment. Client must inform the company in writing via email, within seven days.
- During Development: If the project has already commenced, the client will be required to pay for the work completed up until the point of cancellation. This is calculated based on hourly rates or milestone-based payments.
- Refund: Development cost deducted by company – 30%. This will be based on various parameters: Cancellation within 8-30 days, all work performed up to the cancellation date will be billed at the agreed-upon rate, requirements gathering during design and development, testing and debugging, meetings and communication, and all additional expenses.
- If the cancellation occurs after 30 days from the date of project start. No refunds are applicable.
- Post-Completion: If the cancellation occurs after project completion, the client may request additional post-project support at agreed-upon rates. Refund: No refund by company.
2 Deliverables and Documentation
- Upon cancellation, the development team will provide the client with:
- Any completed deliverables or partial deliverables produced up until the termination date.
- Documentation of work completed till date, designs, and other project assets (if applicable).
- A list of any outstanding tasks, issues, or bugs that remain unresolved.
3 Intellectual Property
- Pre-Cancellation: The intellectual property (IP) rights of the work completed up to the point of cancellation remain with the client, assuming all payments due for that work have been made in full.
- Post-Cancellation: If the project is canceled, the client retains any completed and delivered work, but no further work will be done, and no future updates or support will be provided unless otherwise agreed.
4 Confidentiality
Both parties agree to maintain confidentiality regarding any proprietary information shared during the course of the project, whether the project is completed or canceled.
5 Liability
- Client's Liability: The client will be responsible for any costs or expenses incurred by the development team as a result of project cancellation, including but not limited to non-refundable third-party costs, licenses, or software purchases.
- Team's Liability: The development team will not be liable for any damages or loss of business resulting from the cancellation of the project, except in cases of gross negligence or breach of contract.
6 Dispute Resolution
- In the event of a disagreement regarding the cancellation terms or any financial dispute, both parties agree to attempt to resolve the matter through informal negotiation.
- If an agreement cannot be reached, the dispute will be handled in accordance with the dispute resolution procedures outlined in the contract (e.g., mediation or arbitration).
7 Force Majeure
Neither party will be held liable for delays or cancellations due to events outside of their reasonable control (e.g., natural disasters, pandemics, legal changes, etc.).
8 Conclusion
This Refund Policy is designed to ensure clarity and fairness in the event that a project needs to be terminated. Both parties agree to adhere to these terms as outlined above, and any changes or exceptions must be made in writing and agreed upon by both parties.
